These Terms govern the use of Eduvedha by schools and other educational institutions that subscribe to it. Please read them together with our Privacy Policy and the Data Processing Summary, which form part of these Terms.
1. Who these Terms are between
These Terms are an agreement between [Company Legal Name], [Registered office address] (“Eduvedha”, “we”, “us”), and the school, trust, society, company or other institution that creates an account or signs an order for the Service (“Customer”, “you”). The person who accepts these Terms confirms that they are authorised to bind the Customer.
If a signed order form or agreement between you and us conflicts with these Terms, the signed document prevails.
2. Definitions
- Service — the Eduvedha web application, the parent, staff and driver mobile apps, APIs, and related support.
- Customer Data — all data, including personal data, that you or your Authorised Users put into the Service or collect through it.
- Authorised Users — your administrators and staff, and the students, parents and guardians you give access to.
- Subscription Plan — the plan, modules, limits (for example number of students or branches) and fees you choose.
3. Accounts and access
- Give accurate registration and billing information and keep it up to date.
- You create and manage accounts for your Authorised Users, choose their roles and permissions, and remove access when someone leaves.
- Keep passwords confidential. You are responsible for activity under your accounts. Tell us immediately at info@eduvedha.com if you suspect unauthorised use.
- Parent and student accounts are created by you for your own students and may be used only as part of your school’s use of the Service.
4. Acceptable use
You must not, and must not allow anyone to:
- use the Service unlawfully, or to store or send content that is unlawful, defamatory, obscene, harmful to children, or infringes anyone’s rights;
- enter or collect personal data for which you have no lawful basis;
- send unsolicited or bulk promotional messages. Commercial SMS must follow TRAI’s regulations, including registration of sender IDs and templates on the DLT platform;
- try to access another school’s data, bypass security or usage limits, or probe, scan or test the Service for vulnerabilities without our written permission (please report security issues to info@eduvedha.com);
- upload malware, overload the Service, or scrape it by automated means;
- copy, modify, reverse engineer, resell or sublicense the Service, except as the law expressly allows, or use it to build a competing product.
We may remove content or restrict access that breaches this section.
5. Your responsibilities for Customer Data
For Customer Data you are the Data Fiduciary and we are your Data Processor under the Digital Personal Data Protection Act, 2023 (“DPDP Act”). You are responsible for:
- having a lawful basis (consent, or a legitimate use under the DPDP Act) for all personal data you process in the Service;
- giving clear notices to students, parents, guardians and staff about how you use their data;
- obtaining verifiable consent from a parent or lawful guardian before processing a child’s personal data, unless an exemption under the DPDP Act or DPDP Rules applies;
- collecting only the data you need, and keeping it accurate;
- responding to requests and grievances from students, parents and staff about their data (we help — see the Data Processing Summary);
- informing the Data Protection Board of India and affected people of a personal data breach involving your data (we give you the information you need);
- the integrations you connect with your own accounts (payment gateway, SMS, WhatsApp, e-mail) and your agreements with those providers;
- checking outputs of the Service — such as fee calculations, marks, report cards and certificates — before you rely on them or issue them, and meeting the rules of your education board and regulators.
6. What we provide
- We provide the Service for your Subscription Plan with reasonable skill and care.
- We process Customer Data only as described in the Data Processing Summary and the Privacy Policy, and maintain the security measures described there.
- We provide support as described in section 11.
- We keep improving the Service and may change features. We will not materially reduce the core functions of your paid plan during a paid term without notice [and, if you then terminate, a pro-rata refund of prepaid fees for the unused period].
7. Fees, billing and renewals
- Fees are as shown for your Subscription Plan or in your order, in Indian Rupees and exclusive of GST and other applicable taxes, which are added to invoices.
- Fees are billed in advance for each [monthly / annual] period and are due [within 7 days of the invoice date / at renewal when paid online].
- Subscriptions renew automatically for the same period unless you or we cancel at least [30] days before the renewal date. You can cancel from the subscription page or by e-mail.
- We give at least [30] days’ notice of a price change; the new price applies from your next renewal.
- Free trials last for the period shown at sign-up. When a trial ends without a paid plan, access stops [and trial data is deleted after [30] days].
- [Fees are non-refundable, except as stated in these Terms or required by law.]
- Charges from payment gateways, SMS or WhatsApp providers you connect for your own use are payable by you to those providers.
- If an invoice is unpaid, we send reminders. If it remains unpaid [15] days after the due date, we may suspend the Service under section 8.
8. Suspension
We may suspend all or part of the Service if fees remain unpaid after the grace period, if your use breaches section 4 or 5 in a way that risks harm to others or to the Service, or if suspension is necessary to deal with a security threat or to comply with the law. We give notice beforehand where practicable, limit the suspension to what is necessary, and restore access promptly once the cause is resolved. Customer Data is not deleted because of a suspension.
9. Term and termination
- These Terms apply from sign-up or your order date for the subscription period and each renewal.
- You may end your subscription by cancelling renewal, or at any time by written notice [without refund of fees for the current period].
- Either party may terminate if the other materially breaches these Terms and does not fix the breach within [30] days of written notice, or if the other becomes insolvent.
- When the subscription ends, access to the Service stops. You can export your Customer Data for [30] days afterwards (on request, if your login has been closed). We then delete Customer Data from live systems within [30] days, and backup copies are overwritten within [90] days. We keep only records the law requires, such as invoices.
- Sections that by their nature should survive — including fees owed, confidentiality, limitation of liability and governing law — survive termination.
10. Data export
- During your subscription you can export records at any time using the Service’s built-in reports and exports (for example Excel, CSV and PDF).
- On request, we provide a complete export of your Customer Data in a commonly used, machine-readable format, including uploaded files, within [15] days [at no charge / at a reasonable cost for custom formats].
11. Availability and support
- We aim for availability of [99.5]% in each calendar month, excluding scheduled maintenance (announced in advance and, where possible, outside school hours) and events beyond our reasonable control. [Service credits apply only if stated in your order.]
- Support is available by e-mail at info@eduvedha.com [and in the Service], [Monday to Saturday, 10:00 to 18:00 IST, excluding public holidays]. We aim to respond within [1 business day].
- We back up the database regularly. You should also keep your own exports of records you must retain.
12. Third-party services
Integrations you enable — such as payment gateways, SMS, WhatsApp, e-mail, push notifications, maps or video classes — are provided by third parties under their own terms. We are not responsible for their availability, charges or acts. Our sub-processors are listed in the Data Processing Summary.
13. Intellectual property
- We and our licensors own the Service, its software, design and documentation. We grant you a non-exclusive, non-transferable right to use the Service during your subscription for your institution’s own purposes.
- You own your Customer Data. You allow us to host, copy, process and display it only as needed to provide the Service and meet our obligations.
- If you send us suggestions or feedback, we may use them without any obligation to you.
14. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care, use it only for the purposes of these Terms, and share it only with personnel and advisers who need it and are bound by confidentiality, or where the law requires.
15. Warranties and disclaimers
Each party confirms it has the authority to enter into these Terms. Except as expressly stated in these Terms, the Service is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, or that it meets every requirement of your education board or regulator.
16. Limitation of liability
- Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue or goodwill.
- Each party’s total liability arising out of or relating to these Terms is limited to the fees paid and payable by you for the Service in the [12] months before the event giving rise to the claim.
- These limits do not apply to your obligation to pay fees, to a party’s fraud or wilful misconduct, to your breach of section 4 or 5, or to liability that cannot be limited by law.
17. Indemnity
- You will defend and indemnify us against third-party claims (including from students, parents, staff or authorities) arising from Customer Data processed without a lawful basis, from your content, or from your breach of section 4 or 5.
- We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes an intellectual property right in India.
18. Changes to these Terms
We may update these Terms. We give at least [30] days’ notice of material changes by e-mail or in the Service. If you do not agree with a change, you may end your subscription before it takes effect [and receive a pro-rata refund of prepaid fees for the unused period].
19. Governing law and disputes
- These Terms are governed by the laws of India.
- The parties will first try to resolve any dispute through good-faith discussion for [30] days.
- [Optional: disputes not resolved by discussion are referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at [City], in English.]
- Subject to the above, the courts at [City], India have exclusive jurisdiction.
20. General
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Assignment: you may not assign these Terms without our consent; we may assign them to an affiliate or a successor to our business, with notice to you.
- Notices: we send notices to the e-mail address on your account; you send notices to info@eduvedha.com.
- Entire agreement: these Terms, with the documents they refer to and any signed order, are the whole agreement between us about the Service.
- Severability and waiver: if a provision is unenforceable, the rest remains in force; not enforcing a right is not a waiver of it.
